Marketing services Agreement
1. Monthly Subscription Fee:
1a) A recurring subscription fee will be automatically processed using the payment method provided.
1b) The first payment will process on the invoice date. Subsequent payments will process automatically on the same day and time each month thereafter.
2. Scope of Services:
2a) This fee covers paid advertising management on Facebook, Instagram, and Google, as well as access to CRM tools, lead nurture automations, appointment booking, confirmation messaging, and social media organic posting.
2b) Services are provided "as-is" and do not guarantee specific outcomes such as increased sales, leads, or engagement.
3. Client Responsibilities:
3a) Client is responsible for ensuring all payment methods have sufficient funds to avoid disruptions in service. Jason Valasek, Digital is not liable for overdraft fees, insufficient funds charges, or other bank-related fees.
3b) Client must provide accurate and timely access to all required business information, assets, and accounts necessary for service fulfillment.
4. Disclaimers:
4a) Algorithm Changes: Social media platforms (e.g., Facebook, Instagram, Google) frequently update their algorithms and policies, which may affect advertising performance. Jason Valasek, Digital is not responsible for the impact of such changes.
4b) Third-Party Platforms: Performance or issues stemming from third-party platforms, such as system outages, API failures, or policy changes, are beyond the control of Jason Valasek, Digital and are not the responsibility of the Service Provider.
4c) Legal Compliance: The Client is responsible for ensuring their advertising and business practices comply with all applicable laws and regulations.
5. Cancellation Policy:
5a) A 30-day written notice is required to cancel services.
5b) No refunds will be issued for payments already processed.
6. Limitation of Liability:
6a) Under no circumstances will Jason Valasek, Digital be held liable for any indirect, incidental, special, or consequential damages (including lost profits or data) arising from the use of services.
6b) Maximum liability is limited to the total subscription fee paid in the month of the dispute.
7. Confidentiality:
7a) Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of service.
